You grant to 5ire and its Affiliated Entities a worldwide, non-exclusive, transferable, royalty-free, perpetual, irrevocable right and license, without compensation to you:

• to use your name, or screen name, hometown, photograph, portrait, picture, voice, likeness and biographical information as news or information in any and all media and for advertising or promotional purposes, whether or not in connection with your submission;

• to attribute posts to you by name; and

• to “tag” posts to your social media account.

The foregoing licenses shall survive any termination of your use of the Site. For all of the User Content you share through the Site, you represent and warrant that (i) you have all rights necessary for you to grant these licenses (ii) the User Content is accurate and not misleading or harmful in any manner; and (iii) the User Content, and your use and posting thereof in connection with this Site, does not, and will not, violate these Terms or any applicable law, rule or regulation.

You further, to the extent permissible by law, irrevocably waive any “moral rights” or other rights with respect to attribution of authorship or integrity of materials regarding each item of User Content that you submit.

5ire may also, in its sole discretion, limit access to the Site and/or terminate the Account of any user who infringes any intellectual property rights of others, whether or not there is any repeat infringement.

GOVERNING LAW AND JURISDICTION

All matters relating to the Site and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the United Kingdom without giving effect to any choice or conflict of law provision or rule (whether of UK or any other jurisdiction).

Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Site shall be instituted exclusively in the United Kingdom although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue in such courts.

WAIVER; REMEDIES

The failure of 5ire to partially or fully exercise any rights or the waiver of 5ire of any breach of these Terms of Use by you, shall not prevent a subsequent exercise of such right by 5ire or be deemed a waiver by 5ire of any subsequent breach by you of the same or any other term of these Terms of Use. The rights and remedies of 5ire under these Terms of Use shall be cumulative, and the exercise of any such right or remedy shall not limit 5ire’s right to exercise any other right or remedy

SEVERABILITY

If any provision of this agreement is held to be invalid or unenforceable to any extent, the remainder of this Agreement shall not be affected and each provision hereof shall be valid and enforceable to the fullest extent permitted by law. Any invalid or unenforceable provision of this Agreement shall be replaced with a provision that is valid and enforceable and most nearly reflects the original intent of the unenforceable provision.

ENTIRE AGREEMENT

The Terms of Use, our Privacy Policy, and terms of conditions for the registration of events constitute the sole and entire agreement between you and the 5ire with respect to the Site and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Site.
